Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and Joshua Efiakpowore (Kaizen Ambient Medical Scribe) (“KAMS”, “we”, “us”), governing access to and use of the KAMS website, application, and related services at getkams.com (the “Service”).

By creating an account, signing in, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

KAMS is a clinical documentation assistant for healthcare professionals. Depending on the features you enable, it may accept spoken or typed consultation input and generate draft structured notes (for example SOAP-style notes), suggested codes, and patient-facing summaries for your review.

KAMS does not practice medicine. It does not diagnose, prescribe, or replace your professional judgment. It does not automatically write into your electronic medical record. You alone decide what, if anything, is accepted into a patient chart.

You are solely responsible for:

• Reviewing, editing, approving, or discarding every generated draft
• The accuracy and completeness of the final medical record
• All clinical, coding, and billing decisions
• Obtaining any consent required before recording or processing patient information

3. Eligibility and accounts

The Service is intended for licensed healthcare professionals and authorized staff working under their supervision. You must provide accurate registration details, keep credentials confidential, and notify us promptly of unauthorized use of your account.

You are responsible for all activity that occurs under your account credentials.

4. Your responsibilities

You agree to:

• Obtain appropriate patient consent before ambient listening, transcription, or processing of any patient health information through the Service
• Verify all draft content before using it for care, charting, or billing
• Use the Service only for lawful professional documentation purposes
• Comply with applicable Nigerian law, including the Nigeria Data Protection Act / NDPR framework and medical professional rules that apply to you
• Not use the Service for US Protected Health Information unless and until you have confirmed that your configuration and our offering are appropriate under applicable US law (KAMS is operated primarily for Nigeria and is not represented as HIPAA-certified by default)

5. Access, credits, and payment

Access may include a free trial and prepaid usage packs (for example note credits). Prices, pack sizes, and what is charged are shown in the product before you pay.

• Payments are processed by third-party providers such as Paystack
• Credits are typically consumed when a note is successfully generated, as described in the product
• Fees are non-refundable except where Nigerian law requires or we agree otherwise in writing
• We may update pricing or pack offerings; material changes will be reflected in the product before purchase

6. Intellectual property

You retain rights in the clinical content and patient data you submit. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your professional work while your account is in good standing.

The KAMS name, software, design, and underlying technology remain our property or that of our licensors. You may not copy, reverse engineer, resell, or exploit the Service except as permitted by law.

7. Disclaimers and limitation of liability

The Service is provided on an “as is” and “as available” basis. We do not warrant that drafts will be free of error or suitable for any particular clinical use. You must exercise independent professional judgment at all times.

To the fullest extent permitted by the laws of the Federal Republic of Nigeria, we are not liable for indirect, incidental, special, or consequential loss arising from your use of the Service, including losses tied to clinical decisions, documentation or coding outcomes, or failure to obtain consent or review drafts.

Nothing in these Terms excludes liability that cannot be excluded under Nigerian law. You remain solely responsible for patient care and documentation decisions.

8. Suspension and termination

We may suspend or end access if you breach these Terms, misuse the Service, or create risk to other users or the platform. You may stop using the Service at any time and request account closure by contacting support.

Sections that by nature should continue (including intellectual property, disclaimers, and limitation of liability) survive termination.

9. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory rules, disputes shall be brought before Nigerian courts of competent jurisdiction.

10. Changes

We may update these Terms from time to time. The effective date and version above will change when we do. Continued use of the Service after an update constitutes acceptance of the revised Terms where permitted by law. For material changes we may also notify you in-product or by email.
